Who Needs to File a BOIR?

Under the U.S. Corporate Transparency Act (CTA), all corporations, limited liability companies (LLCs), and similar entities created by filing a document with a secretary of state must submit a BOIR to FinCEN. Foreign companies registered to do business in the U.S. are also required to file unless they qualify for an exemption.

Who is Exempt from Filing a BOIR?

Certain organizations are exempt, including:
Publicly traded companies already subject to SEC reporting
Banks, credit unions, and insurance companies
Large operating companies with over 20 employees, $5 million+ in annual revenue, and a physical U.S. presence

What Information Is Required for BOIR Filing?

When Is BOIR Filing Due?

• Companies formed before January 1, 2024 must file by January 1, 2025.
• Companies created between January 1, 2024, and January 1, 2025 have 90 days from registration to file.
• Companies formed on or after January 1, 2025 must file within 30 days of registration.
